Drift Technologies LLC
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Drift Technologies LLC, a Wyoming limited liability company ("Drift," "we," "us," or "our"), governing your access to and use of the Drift mobile and web application, including all related services, features, and content (collectively, the "Service").
BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
Drift is a subscription management platform that provides users with virtual payment cards for the purpose of controlling recurring subscription charges. Drift enables users to:
(a) Create virtual payment cards issued through Stripe, Inc. ("Stripe") and its banking partners, subject to approval;
(b) Load funds into a Drift Wallet powered by Stripe Treasury, a service provided by Stripe Payments Company, an affiliate of Stripe, Inc., pending production approval;
(c) Manage, monitor, and control recurring subscription payments to third-party merchants;
(d) Authorize outbound payments to subscription merchants from their Drift Wallet balance.
Drift is not a bank. Banking services, including the holding of funds in your Drift Wallet, are provided by Stripe's banking partners. Your Drift Wallet balance is held in a pooled account by Stripe's bank partners and is not a deposit account in your name.
To use the Service, you must:
(a) Be at least 18 years of age;
(b) Be a resident of the United States;
(c) Have the legal capacity to enter into a binding contract;
(d) Not be prohibited from using financial services under applicable law;
(e) Provide accurate, complete, and current registration information.
3.1 You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep your account information current.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You agree to notify Drift immediately at support@drift-subscriptions.com of any unauthorized use of your account or any other breach of security.
3.4 Drift reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4.1 Wallet Funding. You may load funds into your Drift Wallet using a valid debit or credit card. All wallet loads are subject to Stripe's payment processing terms and applicable fees.
4.2 Virtual Cards. Drift will issue you a unique virtual payment card for each subscription you add to the Service. Virtual cards are issued through Stripe and are subject to Stripe's Issuing terms of service.
4.3 Processing Fees. Drift charges a processing fee on each wallet load and subscription payment. Fees are disclosed at the time of each transaction. Drift does not separately itemize its platform fee from Stripe's processing fee in the user interface.
4.4 Withdrawals. You may request a refund of your available Drift Wallet balance to your original funding source. Refunds are processed through Stripe and may take 5–10 business days to appear on your statement.
4.5 No Interest. Drift does not pay interest on Drift Wallet balances. Drift may earn interest or other financial returns on pooled user balances held through Stripe Treasury, pending production approval.
4.6 Balance Limits. Drift reserves the right to impose minimum and maximum balance limits on Drift Wallets.
You agree not to use the Service to:
(a) Violate any applicable law or regulation;
(b) Engage in fraudulent, deceptive, or misleading activity;
(c) Attempt to circumvent subscription merchant billing systems in ways that violate those merchants' terms of service;
(d) Load funds from stolen, unauthorized, or fraudulent payment methods;
(e) Use the Service for any commercial purpose other than managing your own personal subscriptions;
(f) Attempt to reverse engineer, decompile, or otherwise access the underlying systems of the Service;
(g) Interfere with or disrupt the integrity or performance of the Service.
6.1 Stripe. Drift uses Stripe, Inc. and its affiliates to provide payment processing, virtual card issuance, and treasury services. Your use of these features is subject to Stripe's Terms of Service, available at stripe.com/legal, and Stripe's Privacy Policy, available at stripe.com/privacy.
6.2 Clearbit. Drift uses Clearbit Technologies to provide company name and logo lookup services. No personal user data is shared with Clearbit.
6.3 Drift is not responsible for the terms, policies, or practices of any third-party service providers.
7.1 All content, features, and functionality of the Service, including but not limited to the Drift name, logo, software, text, graphics, and user interface, are owned by Drift Technologies LLC and are protected by applicable intellectual property laws.
7.2 You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service.
8.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.2 DRIFT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRIFT TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
8.4 DRIFT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DRIFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Drift Technologies LLC, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
10.1 Informal Resolution. Before initiating any formal proceeding, you agree to contact Drift at support@drift-subscriptions.com and attempt to resolve the dispute informally for at least 30 days.
10.2 Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
10.3 Class Action Waiver. YOU AND DRIFT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
10.4 Governing Law. These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
11.1 Drift reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice.
11.2 Upon termination, your right to use the Service will immediately cease. Any outstanding Drift Wallet balance will be refunded to your original payment method within 10 business days, subject to applicable holds and Stripe's policies.
11.3 You may terminate your account at any time by contacting support@drift-subscriptions.com.
Drift reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, by notifying you via email or in-app notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
